Terms of Service

Welcome to QounterPay. These Terms of Service ("Terms") govern your access to and use of the QounterPay platform, including all associated services, applications, and websites (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Definitions

  • "Account" means the user account you create to access the Service.
  • "Business Data" means all data you upload, input, or generate through the Service, including inventory records, sales transactions, customer information, and employee data.
  • "Platform" refers to the QounterPay software-as-a-service application.
  • "Subscription" refers to the paid plan you select to access the Service features.
  • "Tenant" refers to the business entity registered on the Platform.

2. Account Registration

2.1. You must provide accurate, complete, and current information during registration.

2.2. You are responsible for maintaining the confidentiality of your account credentials.

2.3. You must notify us immediately of any unauthorized use of your account.

2.4. One person or legal entity may not maintain more than one free trial account.

3. Use of the Service

3.1. License Grant. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business operations.

3.2. Acceptable Use. You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and our Acceptable Use Policy.

3.3. Data Ownership. You retain all rights to your Business Data. We do not claim ownership of your data.

3.4. Service Availability. We aim to maintain 99.5% uptime but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance when possible.

4. Subscriptions and Payment

4.1. Access to certain features requires a paid Subscription.

4.2. Subscription fees are billed monthly in advance. All fees are non-refundable except where required by law.

4.3. We reserve the right to change pricing with 30 days' notice. Existing subscriptions continue at the current rate until the next renewal period.

4.4. If payment fails, we may suspend your access after a 7-day grace period.

5. Data Protection

5.1. We process your data in accordance with our Privacy Policy.

5.2. Your Business Data is stored in an isolated database specific to your Tenant. We do not share your data with other tenants.

5.3. You may export your Business Data at any time using the export features provided in the Service.

5.4. Upon account termination, your data will be retained for 30 days to allow recovery, then permanently deleted.

6. Intellectual Property

6.1. The Service, including its design, code, features, and documentation, is owned by QounterPay and protected by intellectual property laws.

6.2. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

6.3. Feedback and suggestions you provide may be used to improve the Service without obligation to you.

7. Limitation of Liability

7.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QOUNTERPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

7.2. Our total liability for any claim arising from these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.

8. Termination

8.1. You may terminate your account at any time through the Settings page.

8.2. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or engage in activity that harms the Service or other users.

8.3. Upon termination, your right to use the Service ceases immediately.

9. Changes to Terms

9.1. We may update these Terms from time to time. When we do, we will update the version number and publish the revised Terms.

9.2. Continued use of the Service after changes constitutes acceptance. If you disagree with any changes, you may terminate your account.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which QounterPay operates, without regard to conflict of law principles.
